Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Stackrate, Inc., a Delaware C corporation ("Stackrate," "we," "us," or "our"). By accessing or using the Stackrate platform at stackrate.ai and any associated services, APIs, reports, or downloadable content (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Stackrate evaluates enterprise software against buyer-specific requirements using primary-source documentation and confidence-graded evidence. The Service accepts user-provided process descriptions, requirements, or documents and generates reports evaluating how software vendors address those requirements. Reports are generated using artificial intelligence, publicly available vendor documentation, and vendor-submitted materials.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. User Accounts and Access
The Service does not currently require user account registration. Certain features, including email-based report delivery, require you to provide an email address. By providing your email address, you consent to receiving transactional communications related to your reports. We may introduce account-based access in the future, at which point additional terms may apply.
5. AI-Generated Content
All comparison reports, analyses, executive summaries, findings, and follow-up responses generated by the Service are produced using artificial intelligence ("AI-Generated Content"). You acknowledge and agree that:
- AI-Generated Content may contain errors, inaccuracies, omissions, or outdated information.
- Software products and their capabilities change frequently; information may not reflect the latest product versions, pricing, configurations, or availability.
- AI-Generated Content is produced algorithmically and has not been reviewed, verified, or endorsed by the software vendors described therein.
- AI-Generated Content does not constitute a recommendation, endorsement, or certification of any software product.
- You are solely responsible for independently verifying all information before making any procurement, financial, or business decision.
6. User-Provided Content
You may submit process descriptions, requirements documents, RFPs, and other materials ("User Content") to the Service. By submitting User Content, you represent and warrant that you have the right to share such content and that it does not violate any third-party intellectual property rights, confidentiality obligations, or applicable law.
You grant Stackrate a non-exclusive, worldwide, royalty-free license to process, analyze, and use User Content solely for the purpose of generating reports and improving the Service. We will not publish or share User Content publicly without your express consent. User Content may be processed by third-party AI providers (currently Anthropic, PBC) subject to their data processing terms. Please review our Privacy Policy for details.
7. Intellectual Property
All content, design, code, trademarks, and other intellectual property comprising the Service (excluding User Content and third-party vendor trademarks) are the property of Stackrate, Inc. and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from the Service or its content without our prior written consent, except that you may share reports generated from your own submissions for your internal business purposes.
All third-party product names, logos, and trademarks referenced on the Service are the property of their respective owners. Their use is for identification and comparative purposes only and does not imply sponsorship, endorsement, or affiliation.
8. Editorial Independence and Conflict Disclosure
Stackrate does not accept payment from vendors for inclusion, placement, or editorial treatment. All vendors are evaluated using the same methodology and analysis framework.
Conflict Disclosure:Stackrate's founder also founded Stampli, an accounts payable automation vendor that may appear in comparison reports. Stampli receives no preferential treatment, holds no equity interest in Stackrate, Inc., and is evaluated using the identical methodology applied to all other vendors, including honest "partial," "unclear," and "not supported" ratings where warranted.
9. Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Submit content that is defamatory, fraudulent, misleading, or that infringes any third-party rights.
- Attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or prompts used by the Service.
- Use automated tools, bots, or scrapers to access the Service in bulk without prior written authorization.
- Resell, sublicense, or commercially redistribute reports or analyses generated by the Service to third parties as a competing service.
- Interfere with or disrupt the integrity, security, or performance of the Service.
10. No Professional Advice
The Service and all content provided through it are for informational purposes only. Nothing on Stackrate constitutes professional procurement, legal, financial, tax, or consulting advice. You should consult qualified professionals before making procurement or business decisions based on information obtained through the Service.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Stackrate, Inc. expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and completeness. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that AI-Generated Content is accurate, current, or complete.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Stackrate, Inc. and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Stackrate has been advised of the possibility of such damages.
In no event shall Stackrate's total aggregate liability to you for all claims arising out of or related to the Service exceed one hundred U.S. dollars ($100.00) or the amount you paid to Stackrate in the twelve (12) months preceding the claim, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Stackrate, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at legal@stackrate.ai. If the dispute is not resolved within thirty (30) days of such notice, either party may proceed with formal legal action.
15. Modifications to Terms
Stackrate reserves the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Effective Date." Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
16. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive (including, without limitation, disclaimers, limitations of liability, and indemnification) shall remain in effect.
17. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Vendor Terms, constitute the entire agreement between you and Stackrate, Inc. with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
