Vendor Terms of Service
Effective Date: April 8, 2026
1. Applicability
These Vendor Terms of Service ("Vendor Terms") apply to software vendors ("Vendor," "you," or "your") who claim a vendor profile, submit comments or documentation, or enable lead generation features on the Stackrate platform operated by Stackrate, Inc., a Delaware C corporation ("Stackrate," "we," "us," or "our"). These Vendor Terms supplement the general Terms of Service and Privacy Policy, which also apply to your use of the Service.
2. Vendor Profile and Claiming
By claiming a vendor profile on Stackrate, you represent and warrant that you are an authorized representative of the vendor organization and have the authority to act on behalf of that organization in connection with the Service.
Stackrate reserves the right to verify your identity and authorization. We may revoke access to vendor features if we determine, in our sole discretion, that a claim is fraudulent or unauthorized.
3. Vendor-Submitted Content
Vendors may submit comments, corrections, documentation URLs, and other materials ("Vendor Content") in response to findings in Stackrate reports. By submitting Vendor Content, you represent and warrant that:
- The information provided is accurate, truthful, and not misleading.
- You have the right to share such information and it does not violate any third-party intellectual property rights or confidentiality obligations.
- The content does not contain defamatory, abusive, or unlawful material.
You grant Stackrate a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and incorporate Vendor Content into the Service, including in comparison reports and public-facing analyses. Vendor Content that is approved through our review process may be displayed publicly on report pages and cited in future AI-generated analyses as a "Vendor Response" source.
4. Content Review and Moderation
All Vendor Content is subject to automated review. Our AI review system evaluates submissions against the evidence provided (documentation URLs, uploaded materials). Submissions that are factually supported by the evidence may be auto-approved. Submissions that lack sufficient evidence will receive revision feedback.
Stackrate reserves the right to reject, remove, or modify Vendor Content at any time and for any reason, including but not limited to content that is misleading, inaccurate, or inconsistent with available evidence. We are under no obligation to publish any Vendor Content.
5. Editorial Independence
Stackrate maintains full editorial independence over all comparison reports and analyses. Vendor participation in the commenting or documentation features does not entitle the Vendor to any editorial control, preferential treatment, or influence over how the Vendor is evaluated or presented in reports. All vendors are subject to the same evaluation methodology.
6. Lead Generation Services
6.1 Service Description
Vendors may opt into lead generation services, through which buyer clicks from Stackrate reports to the Vendor's designated landing page are tracked and reported. Lead generation is an optional, paid feature.
6.2 Pricing and Billing
- A "qualified lead" is defined as a unique buyer who clicks through from a Stackrate report to the Vendor's landing page. Duplicate clicks from the same session within a 24-hour period are not counted.
- Lead counts are tracked through Stackrate's redirect system.
- During the Vendor's 180-day trial period, there is no per-lead charge. Vendors may opt into lead generation, receive leads, and dispute unqualified leads without billing implications during the trial.
- Per-lead pricing for paid tiers is published on the vendor pricing page (/vendors) and takes effect when the Vendor's trial ends.
- Invoices are issued monthly and sent to the billing email address on file.
- Payment is due within thirty (30) days of the invoice date (Net 30).
- Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
6.3 Pricing Changes
Stackrate reserves the right to modify lead pricing with thirty (30) days' written notice to the billing email address on file. Continued use of lead generation services after the effective date of a pricing change constitutes acceptance of the new pricing.
6.4 No Guarantee of Volume
Stackrate does not guarantee any minimum number of leads, impressions, or clicks. Lead volume depends on buyer activity and is not within Stackrate's control.
7. Data and Privacy
Stackrate collects and processes vendor business contact information (email, company name) in accordance with our Privacy Policy. Buyer information shared through lead generation services is limited to the click event (timestamp, report context). Stackrate does not share buyer email addresses, personal information, or uploaded documents with vendors.
8. Termination
Either party may terminate the vendor relationship at any time by providing written notice to the other party. Upon termination:
- Lead generation services will be deactivated immediately.
- Outstanding invoices remain payable according to the terms in Section 6.2.
- Previously approved Vendor Content may remain on the Service unless the Vendor requests its removal in writing.
- Stackrate may continue to display the Vendor's name, logo (for identification purposes), and publicly available information in comparison analyses.
9. Limitation of Liability
The limitations of liability set forth in the general Terms of Service (Section 12) apply to these Vendor Terms. Additionally, Stackrate shall not be liable for: (a) the accuracy of buyer-provided information or requirements; (b) any business decisions made by buyers based on Stackrate reports; or (c) the volume, quality, or conversion rate of leads generated through the Service.
10. Dispute Resolution
Disputes arising under these Vendor Terms shall be resolved in accordance with Section 14 of the general Terms of Service (governing law: Delaware; informal resolution period of 30 days; exclusive jurisdiction in Delaware courts).
11. Modifications
Stackrate reserves the right to modify these Vendor Terms at any time. Material changes will be posted on this page with an updated "Effective Date" and, where practicable, notified to active vendors via their email address on file. Continued use of vendor features after the effective date constitutes acceptance of the revised Vendor Terms.
